Terms of Service
Effective date: January 1, 2026
These Terms of Service ("Terms") govern your access to and use of the PrismCost platform and services provided by PrismCost, Inc. ("PrismCost", "we", "us", or "our"). By creating an account or using our services, you agree to be bound by these Terms. If you do not agree, do not use our services.
1. Acceptance of Terms
By accessing or using PrismCost, you represent that you are at least 18 years old, have the legal authority to enter into this agreement on behalf of yourself or your organization, and agree to comply with these Terms and all applicable laws and regulations. If you are using PrismCost on behalf of a company or other legal entity, you represent that you have authority to bind that entity.
2. Service Description
PrismCost is a FinOps platform for data teams that provides cost visibility, anomaly detection, cost attribution, and optimization recommendations for cloud data warehouses including Snowflake, BigQuery, and Databricks. Our services include:
- →Free cost audit — analysis of your warehouse spend with a savings opportunity report
- →Real-time cost monitoring dashboard
- →Anomaly detection and alerting (Slack, email)
- →Query-level cost attribution and chargeback reporting
- →Cost forecasting and budget management
- →Automated optimization recommendations
We reserve the right to modify, suspend, or discontinue any feature of the service at any time with reasonable notice.
3. Account Registration
To use PrismCost, you must register with a valid work email address and provide accurate account information. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must notify us immediately at hello@prismcost.com of any unauthorized use of your account. You may not share your account credentials or create accounts on behalf of others without authorization.
4. Free Audit Terms
The Free Audit is a one-time service provided at no cost and does not require a credit card. We will analyze your connected warehouse's cost and usage metadata and deliver a savings opportunity report within 48 hours. The Free Audit does not automatically convert to a paid subscription. After receiving your audit, you may choose to subscribe to a paid plan at your discretion. We reserve the right to limit the availability of Free Audits at our sole discretion.
5. Subscription Plans & Billing
Plans. PrismCost offers Growth and Enterprise subscription plans, as described on our Pricing page. Plan details and pricing are subject to change with 30 days' notice to existing subscribers.
14-day free trial. Paid plans include a 14-day free trial. You will not be charged during the trial period. If you do not cancel before the trial ends, your subscription will automatically start and your payment method will be charged.
Billing. Subscriptions are billed monthly or annually in advance. The Growth plan is billed at the base monthly fee plus 4% of your total monitored warehouse spend, calculated based on the prior billing period's actual warehouse costs.
Cancellation. You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.
Annual billing. Annual plans are paid upfront and include a 15% discount on the base fee. Annual plans are non-refundable after the 14-day trial period.
Late payments. Unpaid invoices may result in service suspension after 7 days. You remain responsible for any unpaid amounts.
6. Data Access & Permissions
By connecting your data warehouse to PrismCost, you grant us permission to access warehouse metadata, query history, cost data, and usage patterns via read-only credentials. You represent that you have the authority to grant this access.
Important
PrismCost never accesses the actual data stored in your warehouse — only operational metadata. See our Privacy Policy for details.
You are responsible for ensuring you have the necessary rights and permissions under your warehouse provider's terms to share metadata with third-party services. You may revoke PrismCost's access at any time by removing the credentials from your warehouse settings.
7. Acceptable Use
You agree not to:
- ✕Use the service for any unlawful purpose or in violation of these Terms
- ✕Attempt to gain unauthorized access to any part of the service or its systems
- ✕Reverse engineer, decompile, or disassemble the platform
- ✕Use automated means to scrape or collect data from the service
- ✕Resell, sublicense, or provide the service to third parties without authorization
- ✕Upload or transmit viruses, malware, or any malicious code
- ✕Interfere with or disrupt the integrity or performance of the service
8. Intellectual Property
PrismCost and all related software, content, features, and functionality are owned by PrismCost, Inc. and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the service for your internal business purposes during your subscription term. You retain all rights to your data. We may use anonymized, aggregated usage data to improve the service and for benchmarking purposes.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRISMCOST SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS, ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO PRISMCOST IN THE 12 MONTHS PRIOR TO THE CLAIM, OR (B) $100 USD.
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT SAVINGS PROJECTIONS WILL BE ACHIEVED.
10. Termination
Either party may terminate the agreement at any time. You may terminate by canceling your subscription and deleting your account. We may suspend or terminate your account immediately if you violate these Terms, fail to pay fees, or for any other reason with reasonable notice. Upon termination, your right to use the service ceases. We will delete your data within 30 days of account termination, except where retention is required by law.
11. Dispute Resolution
Before filing any formal legal proceeding, the parties agree to attempt to resolve disputes informally by contacting us at hello@prismcost.com. If informal resolution fails within 30 days, disputes shall be resolved by binding arbitration under the American Arbitration Association's Commercial Arbitration Rules. You waive any right to a jury trial. This does not prevent either party from seeking injunctive relief in a court of competent jurisdiction.
12. Governing Law
These Terms are governed by the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions. Any dispute not subject to arbitration shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.
13. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email and by posting an updated version on our website at least 14 days before the changes take effect. Your continued use of the service after the effective date constitutes your acceptance of the updated Terms.
